Universal Terms of Services

Please read these Terms of Service (“Terms”) carefully before using any services provided by WebNX Global Services Private Limited (“WebNX”, “we”, “us”, or “our”). By accessing or using our services, website, or entering into a contractual agreement with us, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you should not proceed with our services.

1. Definitions

• Client/User/You: Any individual, business, or organization that uses, subscribes to, or purchases our services.

• Deliverables: Tangible or intangible creative works, code, designs, or materials created and provided by WebNX.

• Agreement: Any invoice, proposal, service agreement, or communication that outlines a specific project or scope of work.

• Services: Includes branding, graphic design, UI/UX, website development, mobile app development, digital marketing, SEO, social media management, and hiring of dedicated talent.

2. Acceptance of Terms

These Terms form a legally binding agreement between you and WebNX. Your continued engagement or use of our services confirms your acceptance of these Terms and any additional guidelines, notices, or documents referenced herein.

3. Scope of Services

WebNX offers a wide range of creative and technology services, including but not limited to:

• Logo Design & Brand Identity

• UI/UX Design

• Web & Mobile App Development

• eCommerce & Software Development

• Social Media Management & Optimization

• SEO Article Writing & Marketing

• Dedicated Developer, Designer, or Social Media Handler Hiring

Each service is governed by a written agreement, email confirmation, or approved quotation.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information during onboarding or project initiation.

• Respond promptly to communications and provide necessary feedback or content.

• Not misuse, copy, or redistribute any deliverables without our written consent.

• Pay all agreed-upon fees as per the issued invoice or proposal.

Delays caused by client inaction (e.g., feedback delays, unresponsiveness, missing assets) may affect timelines and cannot be used as grounds for dispute or refund.

5. Payment Terms

• Payment terms are specified in the invoice or project proposal.

• Full or partial advance payment may be required before the commencement of any service.

• Late payments beyond 10 days from the due date may attract a late fee and/or suspension of services.

• All payments must be made in INR or any agreed currency, via authorized payment gateways, bank transfers, or UPI.

6. Intellectual Property

• WebNX retains ownership of all intellectual property and source files until full payment is received.

• Upon full payment, ownership of final deliverables (excluding tools, licensed assets, templates, or plugins) will be transferred to the client.

• WebNX reserves the right to showcase work in portfolios, case studies, or social platforms unless otherwise agreed in writing.

7. Revisions and Feedback

• Most services include a limited number of revisions, specified in your service agreement or quotation.

• Additional revisions beyond the included rounds will be billed separately.

• Feedback must be provided within 5 working days of receiving drafts or deliverables. Absence of feedback will be treated as implicit approval.

8. Timelines & Delivery

• Project timelines are estimated based on scope and client cooperation.

• WebNX is not liable for delays caused by client-side factors or third-party services (e.g., hosting providers, ad platforms).

• Delivery will be via cloud storage, email, or integrated platforms depending on the nature of the service.

9. Confidentiality

• Both parties agree to maintain strict confidentiality about project details, trade secrets, proprietary information, or data exchanged.

• WebNX will not use client-provided materials (e.g., logos, databases, images) for any purpose other than completing the agreed-upon work.

10. Termination

We reserve the right to terminate any service or client engagement under the following circumstances:

• Non-payment of dues or breach of payment terms

• Abusive behavior or unprofessional conduct

• Violation of these Terms

• Repeated failure to provide necessary feedback or content

In such cases, all work will be halted, and any outstanding dues must be cleared immediately. No refunds will be issued for work already completed.

11. Disclaimers

• All services are provided “as is”. WebNX makes no warranties or guarantees regarding specific results unless explicitly stated in writing.

• We do not guarantee any specific rankings, followers, or revenue increases unless part of a performance-based agreement.

• We are not liable for technical issues beyond our control, such as downtime, server crashes, or third-party failures.

12. Limitation of Liability

In no event shall WebNX Global Services Private Limited or its affiliates be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services.

Our total liability for any claim related to the services shall not exceed the total amount paid by the client for those services.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. All disputes shall be subject to the jurisdiction of the courts located in Ahmedabad, Gujarat.

14. Updates to These Terms

WebNX reserves the right to modify or update these Terms at any time without prior notice. The latest version will always be available on our website. Your continued use of our services constitutes your acceptance of any changes.
